1. OpenAI acquires IO Products for $6.5 billion

The first one jumped off the front pages of most business news publications. OpenAI, the leading AI research and deployment company known for ChatGPT acquired IO Products for $6.5 billion. IO Products is the AI hardware and devices startup co-founded by former Apple chief design officer Jony Ive (the famed designer behind the iPhone)

The deal is an all-equity transaction and is OpenAI's largest acquisition to date. Strategically, this positions OpenAI to expand into physical AI hardware. With this deal, OpenAI acquires 55 hardware experts that are among the industry’s best. I find OpenAI’s hardware ambitions fascinating and am keen to see what kinds of products they develop.

2. Alfa Laval acquires Fives Cryogenics for $939 million

Alfa Laval, a Swedish industrial company specializing in heat transfer, separation, and fluid handling technologies, acquired the cryogenics business unit from Fives Group for $939 million. Fives Group is a French industrial engineering firm focused on process technologies and equipment.

The heat exchangers and pumps developed by Fives Energy Cryogenics are essential for the efficient liquefaction, regasification, and transportation of gases like LNG and hydrogen, as well as industrial gases such as carbon dioxide and nitrogen. In fact, Fives Energy Cryogenics is a world leader in this domain, with 65 years of experience designing and manufacturing cryogenic heat exchangers and pumps for gas liquefaction.

3. Perenco acquires Woodside Energy’s Trinidad assets for $206 million

The energy industry continues to light up in terms of dealmaking (even the previous Alfa Laval deal is related to LNG transport). Perenco, an Anglo-French independent oil and gas company with E&P operations in multiple regions, has acquired select assets from Woodside Energy for $206 million. Woodside is an Australian energy firm engaged in liquefied natural gas (LNG) and oil production. The deal involves Woodside's interests in the Greater Angostura and Ruby shallow water oil and gas fields offshore Trinidad and Tobago.

The deal will combine Perenco’s newly acquired assets with their existing operations in the Teak, Samaan and Poui (“TSP”) and Cashima, Amherstia, Flamboyant and Immortelle (“CAFI”) fields. This will make Perenco as a major oil and gas producer in the country, responsible for roughly 12% of the total production with a gas production base of >500 mmscfd and oil production >10,000 bpd.

4. Quanterix acquires Akoya Biosciences for $69 million

Quanterix, a US company fueling scientific discovery through ultra-sensitive biomarker detection has acquired Akoya Biosciences, a spatial biology firm offering single-cell imaging solutions. Quanterix’ technology is used to quantify proteins at low levels in blood, serum or plasma. Akoya’s imaging solutions enable researchers to phenotype cells with spatial context and visualize disease progression and therapy response. The deal will establish Quanterix as a scaled leader in early detection of disease for neurology, oncology and immunology markets in blood and tissue. This expands Quanterix’ total addressable market to $5 billion, and enable cross-selling with Akoya’s installed base.

The deal terms were initially announced as an all-stock transaction for $286 million in January 2025. But this was amended downwards in April 2025 amid market concerns. The deal is a cash and equity transaction, with $20 million in cash and the remaining $49 million in equity. Qunaterix will target $40 million in annual cost synergies post-transaction. The final terms of the deal will see Quanterix shareholders own 84% of the combined entity.

5. Sanoh Industrials acquires Winkelmann Powertrain for $13.9 million

Another area I have noticed increased M&A activity has been in automotive suppliers, and I come back to this area for the final deal of this article. Sanoh Industrial Co., Ltd., a Japanese automotive parts manufacturer specializing in tubes, pipes for vehicles, has acquired Winkelmann Powertrain, a Mexican company producing powertrain components for the automotive industry.

The deal is part of Sanoh’s “Last Man Standing Strategy” which aims to secure Sanoh as the #1 global market share leader in automotive tubing. By integrating Winkelmann’s Powertrain business as a subsidiary of Sanoh, they will establish a dominant position in fuel injection for vehicles made in Mexico for the US market. The deal is a big bet on continued demand for ICE vehicles and the slower than anticipated adoption of EV’s in the US market.

Deal size over $1 billion

I would be remiss if I didn’t mention Nippon Steel’s acquisition of US Steel for $14.9 billion. This marks the end of a truly bruising and highly political takeover process. US Steel has struggled with high costs for years, and Nippon’s offer to takeover the company with a promise of new investment into the firm was first proposed in 2023. But of course, US Steel is considered a “strategic asset” with national security concerns and the politics heated up quickly. President Biden effectively blocked the transaction and US-based bidders dropped out. President Trump managed to approve the deal under strict conditions that leave the US Government with control over the US Steel entity via a “golden share” agreement.

If I had to guess, the US Steel saga is far from over. It may lie dormant for awhile, but with the President now able to appoint someone to the Board and have an effective veto over “certain matters”, it is only a matter of time before the politics heats up once more. It is unclear if Nippon, or the US Government, will come to regret this acquisition in the long-run.

Deal size $500 million to $1 billion

For motorcycle enthusiasts, a major M&A announcement: India based Bajaj Auto will acquire Austria’s KTM for $924 million. KTM is an Austrian motorcycle manufacturer struggling with a financial debt restructuring that was threatening to send the firm into insolvency and liquidation. Production facilities in Austria had already been halted, the company was in the courts trying to get a restructuring plan approved - and the deadline was end of May 2025. Bajaj has stepped in, just in time, with the first 200 million Euro installment as part of a larger court-approved rescue. The remaining funds are now approved and on the way (loans plus convertible bonds), with Bajaj gaining majority control over the company. The deal will build on their longtime partnership with KTM and further expand their presence in high-end performance motorcycles. As a condition of the deal, Austrian jobs will be preserved.

Deal size $100 million to $500 million

In an all Singapore affair, Alliance Energy Services has acquired PEC Energy for $165 million. Alliance Energy is part of Liberty Energy Solutions Ltd, which provides energy engineering solutions and proprietary equipment / products to oil and gas refineries and petrochemical facilities globally. PEC is a Singapore based provider of maintenance and integrated EPC services for the oil and gas, petrochemical, chemical and pharmaceutical industries. The deal will expand Alliance / Liberty’s range of services and customer base, mostly in Asia and Middle East markets. Interestingly, Liberty is owned by Private Equity firm ShawKwei & Partners, which specializes in industrial service companies with revenues between $50-$800 million USD. ShawKwei focuses on acquisitions in the industrials and industrial services sectors with expertise in performance improvement / turnaround situations.

Deal size $50 million to $100 million

There were only 4 identified deals in this size range last week. The most interesting was Colt CZ Group’s acquisition of Steel Stamp Inc for $59.5 million. Colt is based in the Czech Republic, and is a global manufacturer of firearms. They have manufacturing hubs in the their home country as well as the USA, Canada, Sweden, Switzerland and Hungary. Steel Stamp is a US based maker of firearm components and has been a long-term supplier to Colt CZ Group. The deal represents a 5x EBITDA multiple of the company’s firearms business.

Deal size under $50 million

We remain in the wider defense space - lots of M&A action going on - for the “under $50 million” category this week. UK based Gooch & Housego, a manufacturer of photonics components and systems, acquired US based Global Photonics for $17.5 million. Global Photonics is a manufacturer of optical systems military land applications, as well as for aerospace and industrial sectors. The deal extends Gooch & Housego’s presence as a supplier to the US defense sector, as well as builds their US based manufacturing presence.

I think that defense sector M&A has been heating and am fully expecting more deals to come.

Deal size >$1 billion

There was only one deal over $1 billion that closed last week. And it is technically a stretch, as the deal was for $600 million and another $1.3 billion pending certain performance milestones related to clinical development. I’m referring to Sanofi’s acquisition of DREN 0201, in a $1.9 billion acquisition (per the terms above). The deal is for a drug in clinical development that would boost Sanofi’s immunology portfolio. DREN 0201 (now rebranded SAR448501) targets immune related diseases such as Lupus and, as you can tell by the name, is still in clinical development. Dren Bio (the parent company that developed DREN 0201) will continue to operate as an independent entity, and use the proceeds to further develop their pipeline of antibody therapeutics.

Deal size $500 million to $1 billion

n/a. There were no deals in this size range that closed last week. Its the first time this has happened since I started writing my M&A news section. What can I say…maybe the holidays did have an outsized impact on the M&A markets.

Deal size $100 million to $500 million

I have to admit that I don’t typically follow the crypto / bitcoin news that much. But the following deal caught my interest. Ursalpha Digital Ltd, registered in the Virgin Islands acquired Cango for $352 million. Cango is a Chinese firm headquartered in Shanghai (though listed on the NYSE) that originally specialized in car financing. In November 2024 (7 months ago), Cango pivoted to Bitcoin mining with a major acquisition of crypto mining equipment (all of which was outside of China, as cryptocurrency mining is illegal there). They, in effect, exited their original car financing business to focus on crypto. Ursalpha Digital is a subsidiary of Bitmain, one of the largest Chinese cryptocurrency miner companies, again based outside of China for legal reasons. With this acquisition, Cango will exit its legacy car financing business entirely as well as the Chinese market entirely. They intend to relocate their headquarters outside of mainland China though no location has been announced yet. Originally, I thought this might be a form of capital flight from China, but that does not seem to be the case here. Rather it is a strategic pivot into Bitcoin mining that has invited the dealmaking spirits.

Deal size $50 million to $100 million

For deals in this size category, we go to the world of luxury watch retailing with The Hour Glass Ltd. (a Singapore based luxury watch retail group) buying THGrau (Australia) for $58 million. The deal took some research to unpack, as technically THGrau is a Australia based Special Purpose Vehicle with limited disclosures. However, it seems THGrau was a holding entity for prime retail locations, and the acquisition could significantly expand The Hour Glass group’s retail locations in the country. This could be good for fans of Rolex, Patek Philppe and Hublot brand watches known to be sold by The Hour Glass group.

Deal size <$50 million

Once again, dealmaking in this size category was sparse and of the deals identified only two were cross-border transactions. The most curious one was Taiwan based WW Holding’s acquisition of Vietnam based Virtue King for $3 million. WW Holding is a specialized manufacturer of luxury, sports and luggage bags. It owns 4 subsidiaries: Wilson Bag (focused on luxury, business and sports bags), Wellpower (focused on sports equipment / protection gear and medical protection gear), TWT (specialized in luggage and business bags) and now Virtue King which is specialized in Golf bags. WW Holding’s strategy since 2009 has been focused on expanding their manufacturing footprint in Southeast Asia, and this acquisition of Virtue King (including their Vietnam based manufacturing facilities) fits squarely with this approach.

That is it for the week. As I said before, dealmaking was pretty sparse this week. Hopefully there is more action in the week ahead. To me the most interesting deal this week was the Cango / Bitcoin deal. I don’t typically pay much attention to the crypto world, but it sure is interesting to see an established car-financing company abandon their legacy business, pivot to crypto and then leave their country of origin as a result (all within 7 months).

Deal size >$1 billion

Our first deal is an all American affair. PepsiCo has acquired VNGR Beverage for $1.95 billion. VNGR is the company that owns Poppi Prebiotic Soda, a brand of soda beverages that emphasizes sodas made with prebiotics, fruit juices and apple cider vinegar. In other words, with way less sugar and an appeal to wellness oriented consumers. The company itself was only founded in 2015, and it even appeared on a pitch for Shark Tank. As consumer preferences have shifted, Pepsi has undertaken a strategic portfolio transformation program. The deal will see Pepsi improve its product portfolio offerings, while significantly boosting Poppi’s growth potential.

The deal terms are also interesting, and includes $300 million of cash tax benefits for PepsiCo as well as a performance-based earnout contingent on Poppi obtaining certain performance metrics.

Deal size $500 million to $1 billion

Deals in this size range were few and far between this week. In fact, I could only identify 2 globally that closed in the last week (I exclude rumored or announced M&A). For the most interesting of the two, we turn to Asia. SG (“Sagawa”) Holdings, the leading Japanese freight and logistics company has acquired Morrison Express, the Taiwan based global freight forwarder for $900 million. Morrison Express is renowned for its expertise in semiconductor and high-tech logistics. The deal significantly expands SG’s presence in Asia and further allows it to offer end-to-end supply chain solutions across air, ocean, rail and road freight. The combined entity will also benefit from their combined global networks. For those interested in understanding how semiconductors and high-tech products are physically moved around the world, this is a deal worth watching.

Deal size $100 million to $500 million

For this deal size category we return to the United States. Alumis, a US based autoimmune disease therapeutics company, has acquired Acelyrin, a late-stage clinical bio-pharma company for $242 million. Interestingly, the deal terms will see Alumis and Acelyrin shareholders own 55% and 45% of the combined company after close. The deal happened over the objection of Trium Capital, which owned 5.4% of Acelyrin, who argued that the deal terms were worse for shareholders than simply liquidating the company.

I always find it interesting when there are significant differences in views. In this case, a major shareholder disagreed with the deal terms but did not convince enough shareholders to vote against the deal. I guess we’ll have to wait and see who turns out to be correct.

Deal size $50 million to $100 million

In the UK, Anima Care has acquired CVS’ crematoria operations for $56.4 million. Anima Care is part of Funecap Group, a major European funeral services provider, and provides end-of-life care and funeral services for pets. Interestingly, Anima Care made an unsolicited bid for CVS’ Crematoria business which had 2024 revenues of roughly $16 million and adj. EBITDA of $5.8 million. The transaction values the business at ~10x EBITDA. A post-closing service agreement will see Anima Care continue to provide clinical waste disposal and cremation services to CVS practices going forward. The deal is a typical “bolt-on” acquisition for Anima’s core business, while allowing CVS to focus on its core offerings.

Deal size <$50 million

Our last deal of the week, though smaller in size is no less interesting or significant. China’s leadership in battery and new vehicle technology is on clear display. Hubei Wanrun, a leading Chinese battery manufacturer, has acquired Safra, France’s only domestic producer of hydrogen fuel-cell buses for $7.8 million. Safra has been in receivership since Febraury and the deal had to be approved by France’s courts. As part of the deal, Wanrun will retain 120 of 169 Safra employees, and they are planning to continue construction of hydrogen buses as well as renovating trains and subways to convert diesel coaches to hydrogen fuel cells. While the deal was approved by the judge, it was opposed by the workers’ unions, the State Economic, Social and Environmental Council as well as multiple elected officials. According to them, Wanrun’s terms remain vague and it seems there is not a lot of trust - even if 120 jobs are being preserved and Wanrun is a top manufacturer. They seem to be worried that this deal will allow Wanrun to flood the EU market with their products. But taken from another perspective, it could be a valuable way to get highly competitive and innovative technology into the EU market. Expect more deals like this in the future.

"Wanrun manufactures electric buses in China, but not hydrogen-powered ones…it will send nearly finished buses to Safra, which will provide the necessary certifications to flood the European market." - Laure Malleviale, departmental secretary of the Tarn CGT union. "

That is it for the week. Personally, I think the smallest deal (Wanrun’s acquisition of Safra) is the most interesting. I’m expecting a lot more cross-border M&A from Chinese firms acquiring EU firms in the automotive technology sector.

Deal size >$1 billion

It was a relatively quiet week for deals this big. Only 3 that I could identify. The biggest was unsurprisingly in the Canadian energy sector. Whitecap Resources closed its acquisition of Veren for $10.7 billion. With volatility in global oil and gas markets usually comes M&A in this sector. This was an all-stock deal designed to scale up both businesses. Veren shareholders received 1.05 shares of Whitecap for every Veren share they owned. The Post-Merger Integration (PMI) team has its work cut out for it, as they are expected to >$200 million in synergies and cost savings. With this acquisition, Whitecap now becomes the 7th largest oil and gas producer (and 5th largest natural gas producer) in Canada. It also becomes the 2nd largest oil producer in Canada’s province of Saskatchewan. Management expects the company to be better positioned to ride out market volatility due to its greater scale.

Deal size $500 million to $1 billion

Only 4 deals closed this week between $500 million and $1 billion. All were domestic transactions (no cross-border deals). For the most interesting deal, we go to Vietnam where Eastern Ha Noi Real Estate has acquired 100% of Saigon Glory from Bitexco Group for $617 million. Saigon Glory is the developer of the Luxury One Central HCM twin towers in central Ho Chi Minh. This is one of the more visible and ambitious real estate developments in the city. Interestingly, this deal was that it was triggered by the corporate bond market. Apparently, “irregularities” with Saigon Glory’s financial disclosures were uncovered after a prominent businesswoman was arrested for fraud. Since then, Bitexco Group has been struggling to make bond payments, and the sale of Saigon Glory was expressly to raise funds to ensure bondholders get paid. Eastern Ha Noi Real Estate was able to acquire a prized development project as a result. Since 2022, a national anti-corruption campaign has intensified and put stress on the country’s real-estate developers. For real-estate developers looking to enter Vietnam (a growing and vibrant economy in South East Asia), there may well be some bargains to be found as the corporate bond market triggers more asset sales. I’ll be keeping my eyes out.

Deal size $100 million to $500 million

There was more action in this deal size range than for the previous two, with 11 deals closed in total. The most interesting was Euronext’s acquisition of Norway’s Admincontrol for $445 million. Euronext is a Europe-wide stock exchange (like NYSE or NASDAQ for Europe). As part of their Innovate for Growth 2027 strategy, they are aiming to increase their share of SaaS subscription revenues. Admincontrol is a leading provider of corporate governance and secure collaboration software with an extensive presence in the Nordics and UK that complements Euronext’s strategy. This acquisition will strengthen Euronext’s Corporate Solutions business and more than doubles the size of their corporate governance software offerings and capabilities. There are high expectations with this deal. Admincontrol has grown at double digit rates for the last 5 years. Despite this, the deal is expected to be accretive to ROCE only after 3-5 years.

Deal size $50 million to $100 million

For this deal range we return once more to the energy sector - only this time with solar. Nextracker, a solar tracker company (the technology that allows solar panels to follow the sun) has acquired Bentek for $78 million. Bentek provides engineered, pre-assembled electrical balance of systems (eBOS) solutions for the solar market (think all the electrical components needed to build and coordinate a solar farm). The deal significantly expands Nextracker’s offerings in the solar space, and positions them to integrate their top-line solar tracker products with Bentek’s eBOS offerings. This creates much more of a “one stop shop” for solar installations.

Deal size <$50 million

Deals don’t have to be huge to be interesting. There is often a lot that happens in this small to mid-cap world that flies under the radar. This week’s deal of interest is Universal Digital’s acquisition of Geometric Galaxy for $9.6 million. Universal Digital has a curious background. It is formerly Minas Metals, a Canadian junior mining exploration company searching for battery metals in Brazil. I’m guessing the mining exploration turned up nothing of interest, as the company changed to Universal Digital. This new entity will invest in digital assets, businesses and private and publicly listed entities focused on blockchain, cryptocurrencies and cryptocurrency technologies. As part of this, Universal Digital has now acquired Geometric Galaxy, a British Virgin Islands company that owns and operates BullWave which is a SaaS analytics platform for crypto traders. Universal digital had acquired 19% of Geometric Galaxy as part of its business change from Minas Metals. This more recent deal sees them acquire the remaining 81% share. The deal highlights Universal Digital’s complete transformation away from being a Mining business to now being a strategic investor in the world of blockchain and crypto.

Deal Size >$1 billion

Dubai Aerospace Enterprise (DAE) acquired Nordic Aviation Capital (NAC) for $2 billion. NAC is a global leader in regional aircraft leasing and asset management, with a strategy of expanding into larger narrowbody aircraft. The deal significantly expands DAE’s fleet of owned, managed and committed aircraft operating globally. Their fleet now counts 750 aircraft, with an owned and managed fleet of 650 on lease to 161 airlines in 74 countries. This makes DAE the 3rd largest aircraft lessor globally.

Deal Size $500 million to $1 billion

Sumimoto Rubber Industries, from Japan, acquired the Dunlop brand from US-based Goodyear for $735 million. This acquisition gives Sumimoto the rights to the Dunlop brand for consumer, commercial and specialty tires. The deal also included intellectual property and inventories associated with the Dunlop brand. In total, Sumimoto paid $526 million for the Dunlop brand, $105 million for the transition support fee and $104 million for existing Dunlop inventories. As part of the deal terms, Goodyear will retain rights to the Dunlop motorcycle tire trademarks in Europe and Australia / New Zealand market. The all cash deal advances Goodyear’s efforts to reduce debt levels as part of their ongoing “Goodyear Forward” transformation plan.

Deal size $100 million to $500 million

Like the previous deal, this is another US-Japan cross border deal. US-based Quaker Houghton (KWR) acquired Japan-based Dipsol Chemicals for $153 million. KWR is a global leader in industrial process fluids. Dipsol Chemicals is a leading supplier of surface treatment and plating solutions and services for automotive and industrial applications. The deal further diversifies KWR’s reach into adjacent markets. The $153 million purchase price values the deal at 10.5x adj. EBITDA (TTM), and was funded using debt issued under KWR’s existing credit facility. This acquisition is another milestone in KWR’s M&A strategy, and on the same day they announced their next acquisition of Nantech (a U.K. based manufacturer of treatment chemicals for $5.2 million).

Deal size $50 million to $100 million

Personally, I’m not into video games. But this M&A deal in the sector grabbed my attention. MOBA Networks, a Swedish firm that buys, grows and runs online gaming communities is acquiring startup Wargraphs for $54 million. The most interesting part: Wargraphs is still in startup mode, with only one employee and no outside funding. The deal will see MOBA pay half ($26 million) in cash up-front, with the remaining amount to be paid pending achievement of 12 and 24 month EBITDA targets. Wargraphs builds Porofessor (part of modding platform Overwolf) and does analytics for League of Legends, as well as Legends of Runeterra and Teamflight Tactics. For these games, Wargraphs provides players with key statistics and data. Their app has over 10 million downloads and 1.25 million daily active users (combined app and website traffic). Their revenues are estimated as around $13.8 million.

Deal size <$50 million

Pappas Restaurants (USA) acquired On The Border (OTB) Mexican Grill restaurant chain from OTB holdings for $15.9 million. OTB is a Tex-Mex style restaurant chain that filed for bankruptcy in March 2025. Pappas is acquiring OTB’s restaurant assets in a bankruptcy auction. The deal expands Pappas’ presence in the Tex-Mex restaurant sector and add to its portfolio comprising Pappadeaux Seafood Kitchen, Pappasito’s Cantine, Pappas Bar-B-Q and Pappas Bros. Steakhouse brands.

Deal size >$1 billion:

DSV, a world leading Danish transport and logistics company, completed its acquisition of DB Schenker in a $16.3 billion all-cash transaction. DB Schenker was among the largest freight forwarding companies in the world, and this acquisition dramatically increases the scale of DSV’s global logistics and transport capabilities. The deal terms correspond to 0.75x EV/Sales and 13.0x EV/EBIT paid by DSV. With the transaction now completed, DSV is aiming for significant post-merger improvements in their newly acquired operations. They aim to bring DB Schenker’s operating margins in line with DSV’s by 2028.

Deal size $500 million to $1 billion:

nVent, UK based global leader in electrical connection and protection solutions, completed its acquisition of US based Avail Infrastructure Solutions for $975 million. Avail manufactured Bus Systems, Enclosure Systems, Switchgear Systems and Critical Power Solutions - all required for electrical transmission systems. The Avail portfolio will now become part of nVent’s Electrical Products Group and expands this group’s portfolio reach into higher growth markets.

Deal size $100 million - $500 million:

Tenaz Energy, a Canada based E&P company acquired NAM Offshore for $323 million. NAM Offshore is a Dutch energy production asset owned by a joint venture between Shell PLC and ExxonMobil Corp. With this acquisition, Tenaz acquired assets producing 10,000 boe/day of natural gas (forecast for 2025). Tenaz will invest an additional $55-$61 million into the acquired asset in 2025 to fund additional drilling and workover activities, with production benefits expected in 2026.

Tenaz Energy’s strategy is to leverage their commercial production and M&A capabilities to build a leading intermediate size E&P. Going forward, they will continue to acquire conventional and semi-conventional production assets in overseas markets. I’ll be scanning for more deals from them in the future.

Deal size $50 million - $100 million:

Kameda Seika, Japan’s largest manufacturer of rice crackers has sold its Mary’s Gone Crackers subsidiary for $60.7 million to Rosseau, a subsidiary of Canada based Dare Foods. The deal is a Debt-to-Equity Swap (DES) arrangement. $60.7 million of loans made to Kameda Seika’s consolidated USA subsidiary was converted to shares (100% of the shares of Mary’s Gone Crackers) which were then transferred to Rosseau. Kameda Seika acquired Mary’s Gone Crackers in 2013, but the business has struggled in recent years due to higher raw material prices and “other factors”, which led to the sale.

Deal size <$50 million:

This week’s deal <$50 million seemed a bit strange to me, so it made the list for that reason alone. Chijet Motor Company, a Chinese EV manufacturer acquired 80% of a company called TooExpress based in the United States for $40 million. Earlier this year, Chijet received a delisting warning from Nasdaq (their market cap dropped below the $50 million requirement) so I would have thought this was a bad time to acquire a new business. And the business they acquired? Well, according to TooExpress’ website, they provide drone-based last-mile-delivery solutions. But their website is extremely light on detail. The “Service” sections claims to be a market leader in end-to-end logistics solutions, but no customers or partners are listed. The other sections of the website are “Vision” and “Research & Technology”, both of which are very high level. Even better, Chijet (the acquirer) made this acquisition in a $40 million all-stock transaction (valuing TooExpress at $50 million). But the entire market capitalization of Chijet is only $50 million (at time of writing). No press release was made by Chijet, just the required SEC filing. I don’t know the logic behing a Chinese EV manufacturer acquiring a US-based drone-tech company focused on last-mile delivery that seems to only have an idea and no actual product. Perhaps this is a way to transfer $40 million of Chinese shares to a US-based legal entity? At any rate, this one seemed strange to me. I’d be curious if any readers know more about this deal.

Deal size >$1 billion:

Zimmer Biomet, a global medical technology leader focused on mobility via digital and robotic products, has acquired Paragon 28 for $1.3 billion USD. Paragon 28 is a leading orthopedic foot and ankle company (products to treat foot and ankle injuries). The deal expands Zimmer Biomet’s foot and ankle offerings and bolsters their overall fracture and trauma and joint-replacement portfolios. It will also leverage Paragon 28’s specialized sales organization and global presence to accelerate Zimmer Biomet’s international growth.

Deal size $500 million to $1 billion:

Clearwater Analytics, a US based investing accounting SaaS company acquired Beacon Platform for $560 million. Beacon is a US based leader in cross-asset class modeling and risk analytics for derivatives, private credit, debt, structured products and other alternative assets to allow portfolio modeling and risk management.

Deal size $100 million - $500 million:

Royal DSM, a Dutch health, nutrition and biosciences company has completed its acquisition of Adara Pharma Solutions, a French manufacturer of postbiotics. The deal is estimated to be worth 275 million EUR (~$313 million USD)

Deal size $50 million - $100 million:

Portugual’s REN (their National Electricity Transmission Grid and National Natural Gas Transportation Grid) has acquired Chile-based TENSA for $71 million. TENSA is a subsidiary of CMPC, one of the largest industrial groups in forestry, pulp & paper sectors in Latin America, that owned electricity transmission assets. The deal gives REN ownership of 190km of electricity transmission lines in Chile. These lines were originally developed for CMPC’s industrial facilities, and have been reclassified as regulated assets.

Deal size <$50 million:

Huhtamaki, a Finnish sustainable packaging solutions provider has acquired US-based Zellwin Farms, a producer of molded fiber packaging for $18 million USD. The deal gives Huhtamaki a larger installed manufacturing footprint in the US and is part of their strategy to grow their fiber-based egg packaging solutions business.

By 2024, TikTok had over 120 million users in the United States. Over 70% are under the age of 34 (about half of which were under 25) – a key demographic for advertisers. On average, American users spent just under 2 hours a day on the platform [a figure your author finds mind-boggling]. All of this was driven TikTok’s proprietary video recommendation algorithm which seemed to have cracked the code to getting, and keeping, user’s attention.

But suddenly it all seemed to turn. The US government stepped in with concerns over national security – and they weren’t messing around. They demanded TikTok be sold, as a stand-alone American company, to American owners or be banned. The company sued, saying this violated the First Amendment protecting their free speech. They lost. Badly. On January 19^th, 2025 – 4 days from the date of this writing – TikTok, one of the most popular communications platforms in the United States, is poised to “go dark”.

But why exactly? How did this come about? And critically – is there any money to be made? Answering these questions is more difficult than it seems. There are devils in the details – and that makes it interesting. A TikTok divestiture could mean a company worth over $80 billion coming to market. For investors with access, this may be extremely lucrative. But before we get to that, we first must ask: what is TikTok anyway?

What is TikTok?

TikTok is a social media platform that allows users to create, upload and watch short video clips overlaid with text, voice overs and music. For each viewer, the platform creates a continuous sequence of videos based upon that user’s behavior, preference and other factors. TikTok’s goal: keep users engaged and on the platform. The platform captures attention, which they then sell to advertisers. In 2023, TikTok’s US advertising revenue was $16 billion – more than competing American platforms Snap and X combined.

The “secret sauce” behind this incredible, and rapidly growing, business is TikTok’s recommendation engine. This is the algorithm that displays videos based on content metadata and user behavior. It identifies a pool of candidate videos for a user, then scores and ranks those videos using machine learning models. These models determine which video(s) would be most appealing to the user (to keep them engaged on the platform). Embedded in, the recommendation algorithm is TikTok’s content moderation process. Content moderation is achieved through video “heating” (i.e. video promotion) and “filtering” (video demotion). Decisions on which videos to heat or filter are internal company decisions. TikTok’s video “heating” decisions are taken by moderators in the local region or country. But video “filtering” decisions are taken at the central headquarters level and are heavily influenced (if not outright controlled) by ByteDance’s operations in China.

For the US government, and for the courts – this is a critical distinction, and a big problem.

China changes the rules for its companies

Key to this story is that legal changes don’t only happen in the United States. New laws are being written in every country – including China (where TikTok’s parent company ByteDance operates). Over the last decade, China passed two new “national security laws” and began forcing companies to integrate communist party cells into their management structures. Together, these developments caught the attention (and concern) of US regulators.

Technically speaking, requiring communist party committees to be embedded in Chinese companies was not new. This requirement has been in place since 1949 (when the country was founded). Back then, every company was state-owned so it made sense the ruling communist party would exert control. However, as decades passed and the economy grew, this requirement ceased to be enforced except for in the large state-owned enterprises. For those companies, the Chinese Communist Party retained key personnel decisions. However, the legal requirement remained in the books. In 2015, Chinese government policy shifted, and enforcement returned. Companies across China – including subsidiaries of foreign companies – were required to establish these committees. By 2021, the Chinese government reported that they had “achieved complete coverage” of the top 500 private companies in China. Further expansion to cover more companies is ongoing.

As enforcement of this old law was returning, China also passed The National Security Law of 2015. This law requires all citizens and corporations to provide support to national security authorities. Put simply, this required cooperation with any government request or investigation on any matter. If this wasn’t clear enough, in 2017 China passed a cybersecurity law that requires all companies to give the Chinese government full access to all their data and cooperate with any government investigation.

Under these circumstances, it is hard to believe anyone in China would dare not to comply with any government request on any matter at any time. For the US government, it means that even “private” companies in China are unable to act independently of the government. US officials called it China’s “hybrid commercial strategy”.

America responds to China’s legal changes

As things changed in China, so to did things in the United States. Suspicions rose that the Chinese government had too much influence over their companies operating in the United States. This was especially true of “Information and Communications Technology and Services” (ICTS) companies – i.e. social media platforms.

In May 2019, the first salvo was fired from the US government. President Trump signed Executive Order 13873 [an obscure name given its importance]. This order tasked the Department of Commerce, working with other government agencies and departments, to address ICTS threats from “foreign adversary” countries. They had to (1) identify ICTS risks to national security and (2) define which countries were to be deemed “foreign adversaries” of the United States. They quietly began working quietly with these orders in hand. This included working with law enforcement and intelligence agencies to collect information and conduct investigations.

In 2024, four countries were identified as foreign adversaries: Russia, Iran, North Korea and China. This list was published just in time for President Biden to sign the “Protecting Americans from Foreign Adversary Controlled Applications Act” into law. Russia, Iran and North Korea don’t exactly have much by ways of ICTS applications in the United States. But China does – and TikTok is top of this list. The law specifically named TikTok and issued an ultimatum to its parent company ByteDance: divest TikTok USA as a stand-alone business to new US based owners or be banned in the United States. They were given 270 days (until Jan 19, 2025) to comply.

TikTok (ByteDance) tried to negotiate - it didn’t go well

Its hard to know what was going on inside TikTok’s corporate offices or the ByteDance headquarters in Beijing in response to the “divest or ban” law. But based on their proposals addressing US Government concerns, they seem to have had no idea how bad their position was. Throughout 2021 and 2022, they made several proposals to try and thwart the “divest or ban” threat. Suffice to say, their 3 proposals (listed below) were comically insufficient.

1. Proposed “operational independence” for US operations: TikTok proposed to (and later did) establish a new US based legal entity. This US entity would be staffed locally and be “operationally independent” from the ByteDance teams in China. But the recommendation engine software would continue to be designed, maintained and updated in China. But how can the US employees be operationally independent, while still totally dependent on software teams in China? American officials were unimpressed.

2. Data access rights from China based teams would be restricted: TikTok proposed to segment TikTok’s data (including sensitive personal data) into 3 categories, with ByteDance’s access restricted to certain data types only. But TikTok users would be able to “opt-in” to giving access to Chinese teams. Also, TikTok’s Terms and Conditions could be updated to get around the restrictions (by getting user consent to certain data sharing). I don’t know if the American officials involved in this process were less impressed with the first or second proposals.

3. Oracle (“trusted third party”) would audit the source code for TikTok’s recommendation engine and have a “kill switch”. This time, American officials didn’t even have to object. Oracle did it for them (perhaps worried about potential liabilities if they went along with this). They said they were not confident they could do a sufficient audit of the source code. Further, the proposed “kill switch” was only supposed to be temporary if a serious issue had to be fixed. And who would do the fix?

None of these proposals were deemed serious and the US Government, understandably, declined. The “divest or ban” ultimatum returned. In retrospect, TikTok should have moved to divest at that point. Instead, they sued. – saying that this “divest or ban” law infringed on their First Amendment rights, and those of their users. In doing so, they may have made things much harder for other Chinese social media companies in the United States (e.g. WeChat and XiaoHongShu “Little Red Book”).

TikTok runs full speed into the First Amendment - and it hurts

In December 2024, the US Court of Appeals (DC Circuit) denied TikTok’s petitions against the law in every dimension. There were 2 main challenges filed:

1. TikTok: “The government has not proven that we are controlled by the Chinese government”

The judges make it clear this is a poor argument based on considerable legal precedence. When it comes to national security, it is enough for the US Government to have any “informed basis” for their concerns. Their concerns simply have to be based on facts, not purely on hearsay. Whether the facts prove anything is not relevant. The courts defer to the Executive and Legislative Branches to determine national security concerns.

2. TikTok: “The law singles us out explicitly, and is because US Government objects to our content”

TikTok alleged that the US government is targeting them explicitly because of their content. But the judge found this is clearly not the case. First, the law applies to any ICTS company controlled by a “Foreign Adversary” as designated by the Department of Commerce. TikTok is named only because it was identified as fit the criteria at the time the law was passed. In addition, the content on TikTok’s platform is not the target of the “divest or ban” law. Rather it is Chinese government control over that content. If TikTok divests to US owners (thereby ending Chinese government control), then they can remain operating in the United States (content unchanged). In short, the law is “content neutral” and does not single out a single platform.

“Specifically, the Government invokes the risk that the PRC might shape the content that American users receive, interfere with our political discourse, and promote content based upon its alignment with the PRC’s interests” - US Court of Appeals (DC Circuit), Dec. 2024

“Consequently, the Government does not suppress content or require a certain mix of content. Indeed, content on the platform could in principle remain unchanged after divestiture, and people in the United States would remain free to read and share as much PRC propaganda (or any other content) as they desire on TikTok or any other platform of their choosing. What the Act targets is the PRC’s ability to manipulate that content covertly. Understood in that way, the Government’s justification is wholly consonant with the First Amendment.” - US Court of Appeals (DC Circuit), Dec. 2024

But this is where the ruling gets very interesting and has big ramifications for other Chinese owned social media platforms in the United States (e.g. WeChat, XiaoHongShu / “Little Red Book”). The judges cite extensive legal precedence to point out that if any government – foreign or domestic – had control over content on large social media platform, that this in of itself violates the First Amendment.

“At the heart of the First Amendment lies the principle that each person should decide for himself or herself the ideas and beliefs deserving of expression, consideration, and adherence. Our political system and cultural life rest upon this ideal…when a government — domestic or foreign — stifles speech on account of its message…it contravenes this essential right…and may manipulate the public debate through coercion rather than persuasion.

In this case, a foreign government threatens to distort free speech on an important medium of communication. Using its hybrid commercial strategy, the [Chinese Government] has positioned itself to manipulate public discourse on TikTok in order to serve its own ends. The [Chinese Government’s] ability to do so is at odds with free speech fundamentals. Indeed, the First Amendment precludes a domestic government from exercising comparable control over a social media company in the United States. Here the Congress acted to end the [Chinese Government’s] ability to control TikTok. Understood in that way, the Act actually vindicates the values that undergird the First Amendment. Rather than attempting itself to influence the content that appears on a substantial medium of communication, the Government has acted solely to prevent a foreign adversary from doing so” - US Court of Appeals (DC Circuit), Dec. 2024

The ramifications of this are potentially enormous. It means that TikTok, as it exists today, is in violation of the First Amendment due to its corporate structure (which likely applies to all Chinese social media companies operating in the US). China’s own laws giving effective control over content to the Chinese Government compel the “divest or ban” result.

At time of writing, the Supreme Court is hearing arguments in this case. No delay has been given for the TikTok ban, which should start in 4 days. Technically, President Trump (once inaugurated in 5 days) can give a 90-day extension to give time for TikTok to divest – but that’s basically it.

Given how much prior precedence was cited in coming to the current court ruling, it is hard to see the Supreme Court overturning any of it. Forced divestments of incredible Chinese businesses in the United States could make for interesting investment opportunities.

Is there money to be made here?

TikTok challenged the “divest or ban” law in court. In doing so, they likely did not expect to become the target of a First Amendment ruling. In some ways, this places added urgency to their divestiture. It has also started the clock (“Tik-Tok” if you’ll pardon the pun) on potential divestitures of other social media platforms.

These businesses are extremely valuable. In 2023, TikTok’s revenues were $16 billion in the United States (this number fell to $7.7 billion in 2024, but this was likely influenced by their legal problems). Meta, Snap and Pinterest trade at Price/Sales multiples of 6.6, 3.5 and 5.3 respectively. Taking the average of these three, a Price/Sales of 5.1 times $16 billion would value TikTok at $82 billion. Precise figures are not available for WeChat or XiaoHongShu, but they too would be very large divestitures. It is conceivable that these companies could soon come to public markets in the US. If this is the case, there could be a lot of money to be made. Prudent investors should monitor this space closely in the coming months and years.

As we enter 2025, only 22 years remain until “One Country, Two Systems” expires and transitions to “One Country, One System.” It’s only a matter of time before investors begin betting against the Hong Kong Dollar (HKD) and capital starts to flee the region.

The HKD: A History of Stability Born from Crisis

The Hong Kong Dollar has been pegged to the US Dollar (USD) at a fixed exchange rate for over 40 years—a remarkable achievement. This peg was introduced in response to the anxiety and panic surrounding the 1997 handover to China.

Between 1974 and 1983, the HKD operated under a floating currency regime, like most major currencies. However, the handover negotiations, conducted behind closed doors and without public consultation, led to rampant speculation. When it became clear that British sovereignty would not be extended, public speculation turned into panic.

In September 1983, the HKD’s value plummeted over 15% in two days. Merchants began repricing goods in USD, store shelves emptied, and there was a run on essential items. This culminated in the infamous “Black Saturday” on September 24, 1983. Within three weeks, Hong Kong pegged its currency to the USD to restore stability—a peg that has remained intact ever since.

The Peg: Stability with an Expiry Date

The linked exchange rate system underpinning the peg ensures that three chartered Hong Kong banks can issue HKD only if they hold an equivalent amount of USD. This mechanism theoretically eliminates the possibility of a run on the HKD. However, a deeper question looms: if every Hong Kong resident converted their HKD into USD, how much would the HKD truly be worth?

This is not just a theoretical concern. In 22 years, the HKD will cease to exist, replaced by the Chinese Renminbi (RMB). While details are unclear, the transition will likely involve a shift in the peg from the USD to the RMB, potentially through a phased process.

A Gradual Shift to the RMB: Theory vs. Reality

One proposed approach is to peg the HKD to a basket of currencies, including the USD and RMB. Over time, the weighting would shift toward the RMB, stabilizing the HKD around a peg to the Chinese currency. This would be followed by a dual-currency circulation period, during which both RMB and HKD are used for transactions. For comparison, Germany’s adoption of the Euro involved a 3-year dual circulation period during which the Euro was introduced. If we assume a 10-year gradual change in HKD peg and a 3-year dual circulation period, then this process would start in less than a decade. However, while plausible in theory, this scenario is fraught with challenges.

When Germany adopted the Euro, the Euro was perceived as a stabilizing force and they were joining a strengthening Eurozone. In contrast, Hong Kong is likely to be integrated into a Chinese economy under significant pressure. The recent performance RMB does not provide confidence for the future. Over the past two years, the RMB has declined 13% against the USD (and HKD) and is at its weakest point in a decade—despite strict capital controls. Historical parallels, such as Japan’s “lost decades,” suggest that prolonged economic stagnation could lead to even greater devaluation.
